GENERAL TERMS. Submission of an application does not guarantee acceptance into an OKGO Market event. All merchants who apply will be reviewed individually and given equal consideration. Final selection of approved merchants will be based on creating a well-rounded and balanced marketplace experience, including consideration of product mix, category availability, event needs, and applicable product requirements.
These Terms & Conditions are incorporated into the OKGO Market Merchant Application and apply to all approved merchants participating in an OKGO Market event. To comply with applicable laws, venue requirements, and guest safety standards, approved merchants are required to submit an overview of the products they intend to sell. OKGO Market reserves the right to prohibit any product that does not comply with applicable laws, venue requirements, safety standards, or these Terms & Conditions.
OKGO Market is designed primarily as a business-to-consumer marketplace. All participating merchants must offer products intended for direct sale to consumers. Businesses whose primary offering is business-to-business services rather than consumer products are only eligible for participation through the Oklahoma Living portion of the market. The Oklahoma Living portion is intended to provide space for businesses that contribute to the broader Oklahoma lifestyle and community but may not have a traditional consumer product offering. Participation in the Oklahoma Living portion is limited and subject to available space. OKGO Market reserves the right to determine whether a business or its products and services are appropriate for the marketplace or Oklahoma Living category.
PRIMARY APPLICATION/REGISTRATION PERIOD. Approved merchants participating in the primary application period must complete their required application and payment by 5:00 PM on the final day of the primary application period. If a merchant has not completed the required application and payment by 5:00 PM on the final day of the primary application period, the merchant will be subject to applicable secondary-period pricing and may be placed on a waitlist if the applicable category or booth availability is full. Submitting an application without completing payment does not guarantee or "place a hold" on a booth.
SECONDARY APPLICATION/REGISTRATION PERIOD. Approved merchants participating in the secondary application period must complete their required application and payment by 5:00 PM on the final day of the secondary application period. If a merchant has not completed the required application and payment by the applicable deadline, the application may be moved to the waitlist and booth availability will not be guaranteed. Submitting an application without completing payment does not guarantee or "place a hold" on a booth.
MERCHANT CATEGORY MAXIMUMS, APPROVAL, & WAITLIST POLICY. OKGO Market establishes limits for its product categories and subcategories in order to maintain a well-rounded and balanced marketplace. Applications are reviewed individually, while available booth spaces within approved categories are generally assigned on a first-come, first-served basis. Approval of an application does not guarantee a booth until the merchant has completed all required registration steps and payment. If a category or subcategory reaches its maximum before a merchant has completed registration and payment, the merchant may be placed on the waitlist regardless of when the application was approved.
If a space becomes available because another merchant withdraws from a category or subcategory, merchants on the waitlist will be contacted in the order in which they originally applied. Once contacted, the merchant will have 24 hours to respond and complete payment and any required application information. If the merchant does not respond within the 24-hour period, OKGO Market may move to the next application on the waitlist. OKGO Market reserves the right to adjust category limits when necessary to maintain marketplace balance, accommodate event needs, or respond to changes in consumer demand.
BOOTH RESERVATION, LOST SALES, EXPECTED REVENUE, EVENT ATTENDANCE, & CONDITIONS. A booth is not considered reserved or guaranteed until all required registration information has been completed and payment has been received. If a merchant does not complete payment by the applicable deadline, OKGO Market may release the booth or application and offer the available space to another merchant. OKGO Market is not responsible for any lost, anticipated, projected, or expected sales, revenue, profits, business opportunities, or other economic benefits that a merchant may believe it would have received had it participated in the event.
A merchant's failure to complete payment, failure to meet an applicable registration deadline, placement on a waitlist, or inability to participate because the market or applicable category has reached capacity does not create any right to compensation, reimbursement, damages, or payment for sales or revenue the merchant believes it could have generated had a booth been available. Participation in OKGO Market does not guarantee any level of sales, revenue, customer traffic, or business results.
OKGO Market does not guarantee any minimum number of attendees, customer traffic, sales opportunities, weather conditions, or other conditions that may affect merchant performance. Variations in attendance, weather, event conditions, consumer demand, or other circumstances affecting sales do not create a right to a refund, credit, reimbursement, or other compensation.
MERCHANT INVOICE EXPIRATION & REISSUE. Merchant invoices are subject to the payment deadlines stated in these Terms & Conditions and in the merchant's approval or registration notice. For applications submitted before November 1, 2026, merchants must complete payment within 30 days of the invoice date. For applications submitted on or after November 1, 2026, merchants must complete payment within 15 days of the invoice date. If an invoice expires because the merchant has not completed payment within the applicable payment period, the merchant is responsible for contacting OKGO Market to request an invoice reissue. If an invoice must be reissued, a $40 Invoice Reissue Administrative Fee will be required before the invoice is reissued. An invoice reissue does not extend or override a published application-period deadline, category availability, or waitlist status. A booth is not guaranteed until all required application information has been completed and payment has been received.
MERCHANT BOOTH SECTIONS & ASSIGNMENTS. Available booth locations are assigned based on event layout, category placement, availability, and overall marketplace needs. Certain sections may become full between the time a merchant submits an application and the time the merchant completes payment. If the requested section is no longer available, OKGO Market may assign the merchant to another available booth location or pricing level. Any necessary changes to an outstanding invoice will be reflected on the updated invoice provided to the merchant.
OKGO Market retains discretion over booth assignments and may modify a merchant's assigned location when reasonably necessary to meet the needs of the marketplace event. Whenever practical, OKGO Market will notify the merchant of any significant booth assignment change. Floorplan measurements are provided as accurately as possible but may be adjusted when necessary to accommodate the venue, event layout, safety requirements, or marketplace needs. Merchants are required to have at least two members of their team available throughout the event.
OKGO MARKET’S ROLE. Aurasun Group LLC operates OKGO Market and provides participating businesses with an opportunity to sell products directly to consumers at an OKGO Market event. Merchants may only sell products they have the legal right to sell and must comply with all applicable laws and these Terms & Conditions. All transactions are between the merchant and the consumer. The merchant is the seller of record and is solely responsible for the products sold, pricing, payment collection, fulfillment, customer service, returns, refunds, taxes, and all other obligations associated with the sale.
GENERAL PRODUCT POLICY. Merchants are responsible for ensuring that all products offered at OKGO Market comply with these Terms & Conditions and the OKGO Market Prohibited Products Policy. LEGAL RIGHT TO SELL. Merchants may only sell products that: (1) they make or produce themselves; or (2) they are legally authorized to resell. All products must be new and authentic unless otherwise specifically approved by OKGO Market. Authorized resellers agree to maintain adequate processes for ensuring that their products are authentic, legally obtained, authorized for sale, and not stolen, counterfeit, illegal, or misbranded. Intellectual property rights include, but are not limited to, patents, copyrights, trademarks, service marks, trade dress, trade names, logos, moral rights, trade secrets, and other proprietary rights.
COTTAGE FOOD & HOME BAKERY MERCHANTS. All cottage food and home bakery merchants must comply with applicable Oklahoma laws and regulations governing the production and sale of homemade food products. If a cottage food or home bakery merchant provides food samples, the merchant must comply with all applicable health department requirements. Where required, the merchant's booth must display a sign informing consumers that the samples were prepared in a private home kitchen and have not been inspected by the Oklahoma State Department of Health. OKGO Market will provide the required sign when applicable.
HONEY PRODUCERS. Oklahoma honey producers must comply with all applicable requirements of the Oklahoma Honey Sales Act and any other applicable state or local requirements.
FOOD ITEM SAMPLES. Food merchants who intend to provide samples must comply with Exhibit B — Food Sampling Policy. All food samples must comply with applicable health and safety requirements. The event hosting facility requires all food samples to be distributed in portions of 2 ounces or less.
REQUIRED PRODUCT INFORMATION (NOT COMMON). OKGO Market may require merchants to provide product information, documentation, licenses, certifications, or other disclosures necessary to verify that a product is eligible for sale. Merchants must provide requested product information within the timeframe specified by OKGO Market. If a merchant does not have the required authorization or license to use certain product content, trademarks, photographs, descriptions, or other materials associated with a product, the merchant may not sell or promote that product at OKGO Market. See Exhibit C — OKGO Market Product Information Requirements.
TRANSPORTATION OF PRODUCTS. Merchants assume full responsibility and liability for transporting their products and booth materials to and from the OKGO Market event site. Any products or materials that are damaged, lost, or stolen during transportation are the sole responsibility of the merchant. Aurasun Group LLC and OKGO Market are not responsible for monetary loss or product depreciation arising from transportation.
PRODUCT SALES & TRANSACTIONS. All sales and transactions are between the merchant and the customer. The merchant remains the sole seller of record. Customers will visit the merchant's assigned booth, and the merchant will collect all payments for products sold. Merchants are responsible for clearly displaying product prices and ensuring that pricing is accurate, transparent, and consistent with applicable law. Merchants are responsible for setting their own prices. Pricing must be reasonable and must comply with all applicable consumer protection and pricing laws. Price gouging and deceptive pricing practices are prohibited.
PRODUCT FULFILLMENT. All product fulfillment processes must be executed in real time and on the premises of the OKGO Market, unless otherwise arranged, agreed upon, and fully understood between you, the Merchant, and the customer. It is the sole responsibility of the Merchant to fulfill any pre-paid, layaway, shipping, or similar subsequently completed order promises. Aurasun Group LLC assumes zero responsibility and zero liability for Product trades arranged for any future date.
RISK OF FRAUD, LOSS, CANCELLATIONS, RETURNS, REFUNDS & RECALLS. Aurasun Group LLC and OKGO Market assume no responsibility for fraudulent activity, theft, or loss associated with a merchant's transactions. This includes, but is not limited to, stolen or unauthorized credit cards, counterfeit tender, fraudulent payments, or bad checks. Merchants assume responsibility for the products they bring to and sell at the event. Merchants are solely responsible for their cancellation, return, refund, exchange, warranty, and post-event fulfillment policies. Each merchant must provide its applicable cancellation, return, and refund policy to OKGO Market by the deadline specified by OKGO Market. Where required, the merchant's policy may be published on the OKGO Market website. Merchants are solely responsible for any product recalls, defects, non-conformity, or other product-related claims involving products they sell at the event. Aurasun Group LLC and OKGO Market assume no responsibility or liability for product recalls or defects involving a merchant's products.
TAXES. Merchants are solely responsible for determining, collecting, reporting, and remitting all applicable sales and use taxes associated with their sales at OKGO Market. Merchants are responsible for complying with all applicable Oklahoma Tax Commission requirements and maintaining any required sales tax permits or registrations.
CUSTOMER SERVICE & GENERAL MARKET CONDUCT. Merchants are expected to provide professional, courteous, and respectful customer service throughout the event. Merchants must be present and prepared to serve customers during all published market hours. Merchants may not engage in threatening, aggressive, abusive, disruptive, or inappropriate conduct toward customers, OKGO Market representatives, event staff, or other merchants. Any conduct that materially disrupts the event or creates a safety concern may result in immediate removal from the event and may affect eligibility for future OKGO Market events. Merchants are encouraged to report conduct or safety concerns involving other merchants to an OKGO Market representative promptly. OKGO Market is a family-friendly event. Yelling, excessive profanity, threatening behavior, harassment, and other inappropriate conduct are prohibited. Merchants must wear shoes and shirts at all times and maintain a clean and professional appearance. Products must be displayed in a sanitary, presentable, and attractive manner. Smoking is prohibited within merchant areas and is permitted only in designated smoking areas established by the venue. Possession of firearms or other prohibited weapons, consumption of alcohol by merchants, use of illegal drugs, or operating under the influence of alcohol or drugs is prohibited on the event premises. Merchants must be knowledgeable about the products they sell and able to accurately communicate relevant product information to customers.
REPRESENTATION AND INTEGRITY. Merchants operate independently from OKGO Market and Aurasun Group LLC. Merchants may not represent or imply that they are owned by, operated by, sponsored by, endorsed by, or otherwise affiliated with OKGO Market or Aurasun Group LLC unless expressly authorized in writing.
Merchants may identify themselves as participating OKGO Market merchants and use approved OKGO Market event logos or promotional materials solely for the purpose of promoting their participation in the event. Any use of OKGO Market or Aurasun Group LLC trademarks, logos, or branding beyond approved promotional use requires prior written authorization.
MERCHANT COMMUNICATIONS & FALSE STATEMENTS. Merchants are expected to address questions or concerns regarding their participation directly with OKGO Market and to seek clarification when they believe they do not understand an event policy, deadline, payment requirement, or other condition of participation. Merchants are strictly prohibited from knowingly making false statements, fabricated claims, or materially misleading representations with the intent to harm the reputation or business interests of OKGO Market, Aurasun Group LLC, its representatives, or another merchant. Such conduct may result in removal from the event, forfeiture of participation fees, and/or ineligibility for future OKGO Market events, in addition to any other remedies available under applicable law.
Nothing in this section prohibits a merchant from making a good-faith complaint, review, criticism, or report concerning OKGO Market or from communicating with a governmental, regulatory, or legal authority regarding a legitimate concern.
NOISE, DISTURBANCE, & INTRUSION. Merchants may promote their businesses from within their contracted booth space but must do so in a manner that does not interfere with neighboring merchants or the overall event experience. Excessive or continuous noise, including loud music, repeated recorded advertisements, shouting, or other disruptive promotional activity, is prohibited. Merchants may conduct flash sales and similar promotions provided they are announced in a reasonable manner and do not disrupt the event or neighboring merchants.
MERCHANT BOOTH SETUP, MANAGEMENT, & TAKE DOWN. OKGO Market retains discretion over booth assignments and may make reasonable adjustments to booth locations when necessary for event operations, safety, venue requirements, or marketplace balance. Merchants are responsible for completing setup during the designated move-in period unless an alternative arrangement has been approved in advance by OKGO Market. OKGO Market will communicate the applicable move-in date and setup timeframe to participating merchants.
Merchants are responsible for all products, equipment, displays, and other items they bring to the event, including items left at their booth during move-in. Merchants should not leave valuable or confidential equipment unattended during move-in. Failure to complete booth setup during the assigned move-in period without prior written approval may result in reassignment or forfeiture of booth space without refund. Booths must be organized in a clean, professional, and straightforward manner. Booths may not be excessively cluttered or overpacked. Promotional materials must remain within the merchant's contracted booth space unless otherwise approved.
Merchants may not distribute promotional materials throughout the venue or display advertising outside their contracted space without prior approval. Merchants may not sublet or transfer their booth space to another business. Merchants are responsible for keeping aisles adjacent to their booth free of congestion caused by demonstrations, promotions, or customer activity.
Your booth must be attended to at all times during the marketplace event. Merchants must have at least one member of their onsite team present at their booth throughout the entire marketplace event. If a booth is found unattended, OKGO Market may issue one warning. A second violation may result in forfeiture of the remainder of the merchant's participation in the event without refund. All individuals managing a merchant booth must wear an OKGO Market Merchant badge during move-in and throughout the event. The number of individuals listed on the merchant's application will determine the number of badges prepared for the merchant. If the number of individuals managing the booth changes after the application is submitted, the merchant must notify OKGO Market before move-in day.
Merchants must maintain an active booth for the full duration of the marketplace event. Immediately following the close of the event, merchants must take down and remove all products, equipment, displays, and other materials they brought to the premises. Items left at the event site may be subject to storage by the venue. Any fees charged by the venue for storage of merchant property will be the responsibility of the merchant.
DUE TO LIABILITY CONTINGENCIES, OKGO MARKET TEAM MEMBERS ARE NOT RESPONSIBLE FOR ASSISTING MERCHANTS IN THE MOVE-IN / SET-UP OF THEIR BOOTH OR BOOTH AREA. ADDITIONALLY, OKGO MARKET TEAM MEMBERS ARE NOT RESPONSIBLE FOR ASSISTING MERCHANTS WITH BOOTH TAKE DOWN, LOADING OUT OF PRODUCTS, MERCHANDISE, OR ANY OTHER BOOTH ITEM(S). ANY ATTEMPT TO ASK FOR TAKE DOWN OR LOAD-OUT ASSISTANCE FROM THE OKGO MARKET TEAM WILL BE DENIED.
MERCHANT PROPERTY. Merchants are solely responsible for the security and safekeeping of their products, inventory, cash, equipment, displays, personal property, and other materials brought to the event. Aurasun Group LLC and OKGO Market are not responsible for loss, theft, disappearance, or damage to merchant property, whether occurring during move-in, the event, or move-out, except to the extent caused by conduct that cannot legally be excluded under applicable law.
EQUALITY & NON-DISCRIMINATORY ENVIRONMENT. OKGO Market is committed to providing an environment free from unlawful discrimination and harassment. All merchants are expected to treat customers, other merchants, event staff, and OKGO Market representatives with professionalism and respect. Discrimination or harassment based on protected characteristics under applicable law is prohibited. Merchants should report concerns regarding discrimination or harassment to an OKGO Market representative immediately.
MERCHANT APPLICATION REVIEW. All applications are reviewed individually. Approval is based on applicable product requirements, category availability, event needs, marketplace balance, and other factors determined by OKGO Market. OKGO Market reserves the right to reject any application or limit the number of merchants participating in any category or subcategory. Approved merchants must satisfy all applicable product, business, licensing, and legal requirements.
APPROVED MERCHANT FEES. Approved merchants will be required to pay all fees as indicated on their application. Booth fees are calculated at a fixed rate per square foot. For applications submitted before November 1, 2026, payment is due within 30 days of the sent invoice. For applications submitted on or after November 1, 2026, payment is due within 15 days of the sent invoice. Failure to remit payment within the applicable payment period may result in a booth placement adjustment or prevention of event participation unless prior arrangements have been made in writing.
Commercial food merchants who do not possess a valid Mobile Retail License may be required to purchase a temporary license from the Tulsa Health Department on the morning of the event. If applicable, the current fee and payment methods will be communicated to the merchant prior to the event.
Electricity is not included in any of the pre-set booth options nor reflected in any pricing associated with pre-set booth options. Electricity can be provided as a one-off option and an additional fee will be assessed to the merchant as such. The fee for electricity shall reflect pricing set by the event site. Extension cords will be provided by OKGO Market. Under no circumstances are merchants allowed to modify, alter, or tamper with electrical setups. If you need assistance, an on-site electrician will be available. OKGO Market cannot guarantee electrical accommodations for requests made after the applicable deadline.
MERCHANT CANCELLATION & REFUND POLICY. All merchant cancellation requests must be submitted in writing. Cancellation and refund eligibility is determined according to Exhibit D — Merchant Cancellation Policy Periods. Cancellations received 31 days or more before the event date may qualify for a partial refund. Cancellations received 30 days or less before the event date are not eligible for a refund, and the merchant will forfeit the full registration cost. Partial refunds are calculated by deducting applicable costs and expenses already incurred by OKGO Market, which may include labor, marketing resources, event center costs, payment processing fees, and other non-recoverable expenses. Upon cancellation, the merchant's reserved booth space will be released and may be offered to another merchant. Booth upgrades and add-ons are non-refundable.
MERCHANT UTILIZATION OF EQUIPMENT & SERVICES. Equipment and services provided to merchants through OKGO Market or the event venue are used at the merchant's own risk. Merchants acknowledge that electrical services are provided through the event venue or its designated providers. Aurasun Group LLC and OKGO Market are not responsible for damage to merchant products, equipment, or merchandise resulting from electrical services, including electrical outages, surges, low or high voltage, electrical shocks, or other electrical incidents. Personal extension cords, power strips, and other electrical equipment brought by merchants are used at the merchant's own risk. Merchants are responsible for ensuring that their personal electrical equipment is safe and appropriate for use. Internet access may be provided to participating merchants and, when provided as part of the standard booth package, is included in the applicable booth pricing. OKGO Market does not guarantee internet availability, uptime, speed, or bandwidth. Internet service is provided and managed by the event venue or its designated service provider. Pipe and drape provided to merchants is owned or supplied by the event venue or a third-party contractor. Merchants may not damage, alter, deface, or otherwise misuse pipe and drape equipment. Merchants may be responsible for costs associated with damage to venue or contractor equipment caused by their actions. Tables and chairs provided to merchants remain the property of the event venue or applicable provider. Merchants may not damage, alter, or misuse tables, chairs, or other venue-provided equipment. Merchants may be responsible for costs associated with damage caused by their actions.
PHOTOGRAPHY, VIDEO & PROMOTIONAL USE. By participating in OKGO Market, merchants acknowledge that photography, video, audio recording, and other forms of media may be captured throughout the event. Merchants authorize Aurasun Group LLC and OKGO Market to photograph, record, and use images, likenesses, voices, booth displays, products, and business names captured in connection with the event for promotional, advertising, editorial, social media, website, archival, and other legitimate business purposes without additional compensation. Merchants are responsible for obtaining any necessary permissions from their employees, representatives, or other individuals appearing in their booth or promotional materials.
CATEGORY MAXIMUMS. OKGO Market sets limits on each of its categories and merchant booths are given on a first come, first served basis. This ensures that each event provides a well-rounded and well-balanced marketplace experience for shoppers. Each product category available for sale at the OKGO Market will be allocated a predetermined number of slots. These slots will be filled on a first-come, first-served basis upon successful application and acceptance into the event. The category caps ensure fairness among merchants by preventing one category from dominating the market, which could diminish the diversity and appeal of offerings to festival attendees.
During the application review process, OKGO Market will evaluate each merchant's proposed product category to determine eligibility based on existing caps and overall event balance objectives. OKGO Market reserves the right to adjust category caps as necessary to accommodate changes in demand or unforeseen circumstances, ensuring ongoing marketplace balance and attendee satisfaction.
Non-food category allocations: Art & Photography (12%); Clothing, Jewelry, & Accessories (15%); Custom Specialty Products (15%); Gifts & Novelties (15%); Health & Natural Beauty Products (10%); Home Goods & Décor (15%); Pet Products & Accessories (3%); Other Products (15%). Food category allocations: Baked Goods (20%); Candies (15%); Dry Foods (20%); Condiments/Spreads (20%); Meats (15%); Wines (10%).
CATEGORY & SUBCATEGORY BUYOUT OPTION. OKGO Market may offer a category or subcategory buyout option to merchants seeking exclusive rights to sell a particular type of product within an applicable category or subcategory. Buyout opportunities are subject to availability and must be specifically approved by OKGO Market. Merchants interested in a buyout should request exclusivity during the application process or after approval is issued. Merchants may not assume, claim, or represent that they have exclusive rights to sell a particular product, product type, or service at OKGO Market unless a buyout has been specifically approved in writing by OKGO Market and all applicable buyout fees have been paid.
The fact that a merchant is the only participating merchant currently offering a particular product, product type, or service does not create or imply exclusivity. Unless a buyout has been approved and paid for, OKGO Market may approve other merchants offering similar, competing, or substantially similar products, regardless of whether another merchant previously participated in the event, has previously sold the product at the event, or believes it should have exclusive rights.
Buyout fees may vary depending on the size and demand of the applicable category or subcategory, the expected number of merchants offering similar products, the value of exclusivity, and the base booth cost. In most cases, the subcategory buyout fee will be based on approximately one-half (1/2) of the applicable category allocation and will not exceed three-fourths (3/4) of the applicable category allocation, unless otherwise determined by OKGO Market.
OKGO Market retains full authority to approve, deny, modify, limit, or revoke any category or subcategory buyout request based on event needs, marketplace balance, merchant participation, attendee experience, or other operational considerations. A buyout is not effective until it has been confirmed in writing by OKGO Market and all applicable buyout fees have been paid. Verbal discussions, requests for exclusivity, prior participation, previous product offerings, or the absence of competing merchants do not constitute an approved buyout or create any exclusive rights.
Once a buyout has been confirmed and paid for, OKGO Market will not knowingly approve another merchant within the same exclusive subcategory for the applicable event, subject to the specific scope and limitations of the approved buyout. OKGO Market is not responsible for products sold by merchants who independently attempt to circumvent an approved exclusivity arrangement. If OKGO Market determines that another merchant is offering products in violation of an approved buyout, OKGO Market may require the merchant to remove the applicable products from the event. No merchant may demand, require, or represent that OKGO Market remove another merchant or prohibit another merchant from selling a product based solely on the fact that the first merchant sells the same or a similar product. Exclusive rights exist only when specifically approved and paid for through the OKGO Market buyout process.
Permanent jewelry is not considered an exclusive product category or subcategory unless the merchant has specifically purchased and received written approval for a permanent jewelry buyout. The presence of one permanent jewelry merchant at an OKGO Market event does not prevent OKGO Market from approving additional permanent jewelry merchants for the same event. Merchants offering permanent jewelry may not claim, imply, or demand exclusive rights to provide permanent jewelry at OKGO Market unless those rights have been specifically approved in writing and all applicable buyout fees have been paid.
FORCE MAJEURE & EVENT CANCELLATION. OKGO Market reserves the right to cancel, postpone, relocate, reschedule, shorten, or materially modify an event due to circumstances beyond its reasonable control, including severe weather, natural disasters, fire, flood, public health emergencies, acts of God, government orders or restrictions, venue closure, utility failure, labor disputes, civil disturbance, acts of terrorism, war, or other circumstances that make holding the event impractical, unsafe, or impossible. Aurasun Group LLC and OKGO Market will not be liable for losses, damages, expenses, lost sales, anticipated revenue, travel costs, lodging costs, product costs, or other economic losses resulting from such cancellation, postponement, relocation, modification, or interruption. If an event is canceled or materially changed, OKGO Market will determine, in its discretion, whether any refund, credit, rescheduled participation, or other accommodation will be offered after consideration of non-refundable expenses and commitments already incurred.

All food samples must be distributed in portions of 2 ounces or less, as required by the event venue. Merchants are solely responsible for the safety and handling of their food samples and assume all risks and liabilities associated with the preparation, handling, distribution, and consumption of samples. Merchants agree to release, waive, and discharge Aurasun Group LLC, its partners, representatives, and agents from claims arising from the merchant's food sampling activities, to the extent permitted by law.

Registration fees may be reviewed and adjusted for future events based on event venue costs, labor, operating expenses, and other event-related expenses.
FOOD MERCHANT FEES. The event hosting facility requires a mandatory added food vendor fee that is calculated per 10x10 space. This fee imposed directly from the event hosting center is required of all food vendors anytime food items are sold on the grounds -- whether pre-packaged or prepared on-site -- in lieu of exclusive food contracts held by the event hosting center. Please refer to the FOOD MERCHANT EVENT FACILITY FEE DISCLAIMER portion of the application for the applicable per day required fee that applies to all food merchants.
INVOICE REISSUE FEE. If a merchant invoice must be reissued because the merchant failed to complete payment within the applicable payment period, a $40 Invoice Reissue Administrative Fee will apply before the invoice is reissued.
EXHIBIT F: UPGRADES AND ADD-ONS
THE FOLLOWING SECTION ONLY APPLIES TO MERCHANTS WHO HAVE REQUESTED AN EXCHANGE ROW BOOTH UPGRADE. Exchange Row is defined as a high-impact group of merchant booths that bear a premium forefront location. OKGO Market merchants are given the opportunity to upgrade their booth to this area for an additional fee. All Exchange Row spaces are given on a first come, first served basis. The OKGO Market team will place all Exchange Row merchants strategically. Merchants are not permitted to request specific placement on Exchange Row.
